Terms of Service

These terms govern your use of RULED. They describe what the service does, what it deliberately does not do, and where the limits of our responsibility sit.

Draft — pending legal review

This document is a working draft prepared for review by a qualified lawyer. It is not legal advice and it is not in force. Every value in square brackets still has to be filled in, and the whole text has to be checked against the jurisdictions RULED will actually operate in.

1. Who you are contracting with

RULED is operated by [Legal entity name], [Registered address], VAT [VAT number]. By creating an account or using the service you accept these terms. If you do not accept them, do not use RULED.

2. What RULED is

RULED is a discipline and risk-management tool. You define trading rules for yourself. RULED reads your trading activity from your broker in read-only mode, compares it against those rules, tells you when you break one, and — depending on your plan and settings — temporarily blocks access to the trading applications you selected on your own devices.

RULED analyses whether you are following the rules you set. It never decides what those rules should be. It will tell you that a trade exceeds the risk limit you defined; it will never tell you what that limit ought to be, where to place a stop, or what to trade.

3. What RULED is not

In particular, RULED is not:

  • a broker. It does not execute, route or intermediate orders.
  • a provider of investment advice, personal recommendations, portfolio management, or any other regulated financial service.
  • a source of trading signals. It never tells you what to buy or sell, when to enter, or where to take profit.
  • a promise of profit or of the avoidance of loss.
  • able to act on your account. It never places, modifies, closes or cancels an order, never intercepts an order on its way to your broker, and never moves funds.

4. Eligibility

You must be at least 18 years old and legally able to enter a contract. You may only connect trading accounts that belong to you and that you are authorised to access.

5. Your account

You are responsible for keeping your credentials secure and for everything done through your account. Tell us promptly at [contact@ruled.app] if you suspect unauthorised access.

6. Connecting a broker

You authorise the connection yourself, using credentials issued by your broker. RULED only supports broker connections that allow access without granting RULED authority to place, modify or cancel orders or to move funds. Where a broker cannot offer a connection on those terms, that broker is not supported at all.

What RULED can read depends entirely on what that broker's interface exposes, and broker support may change or end without notice. You remain fully responsible for your relationship with your broker, including compliance with their terms and with the rules of any proprietary trading firm you trade for.

7. Locking your applications

App locking works through the parental-control and screen-time features your operating system provides. It requires a permission you grant explicitly, and applies only to the applications you select yourself. You can revoke that permission at any time.

RULED may prevent access to a trading application while a lock is active. A lock operates at application level and cannot distinguish why you are opening the app. Users with open positions must maintain an independent means of reaching their broker when necessary to manage or reduce existing exposure — for example the broker's web platform on an unmanaged device, or their telephone dealing desk.

The lock is deliberately not absolute. You can uninstall RULED, withdraw the permission, or use a device you never configured. Paid plans may also include override mechanisms, as described on the applicable plan page at the time of purchase.

8. Device and platform compatibility

Enforcement features require a supported device, a supported operating system version, and the permissions described above. Availability and behaviour of these features may differ by operating system, device, broker and country, and may change when a third party changes its own software or policies.

Feature availability for your setup is shown before purchase. Nothing in this section affects any mandatory rights or remedies available to consumers under applicable law.

9. Dependence on third-party services

RULED depends on services we do not control: brokers and their interfaces, Apple and Google operating systems and their restriction frameworks, push notification services, payment providers and hosting infrastructure. We do not control their availability, accuracy, performance or continued support, and compatibility may change or end at any time.

10. No guarantee that enforcement will work

This clause is the most important one in this document, and we would rather you read it now than discover it later.

RULED is provided on a best-effort basis. Warnings, cooldowns and application locks may fail to trigger, may trigger late, or may fail to lift, for reasons including: outages or delays at your broker, missing or delayed data, loss of connectivity, changes to operating system behaviour, permissions being revoked, a device we do not know about, or a defect in our software.

You must not rely on RULED as your only safeguard against your own decisions, and you remain solely responsible for every trade placed on your account — including any trading activity that occurred while a RULED warning or application lock was expected to be active.

11. Plans, billing and cancellation

The Free plan costs nothing. Paid plans are billed monthly or annually in advance and renew automatically until cancelled. You can cancel at any time; the cancellation takes effect at the end of the current billing period and you keep access until then.

Prices shown to consumers are in euro and inclusive of applicable VAT. Business customers may be shown prices excluding VAT, which is then applied at checkout where required. We may change prices with at least [30] days' notice before your next renewal.

12. Right of withdrawal (consumers)

If you are a consumer in the European Union you have 14 days from the conclusion of the contract to withdraw from it, without giving a reason, by telling us at [contact@ruled.app].

When you subscribe you expressly request that the service begins immediately, and you acknowledge that you will lose the right of withdrawal once the service has been fully performed. If you withdraw while the service is still running, you owe an amount proportionate to what was supplied up to the moment you told us, and we refund the rest within 14 days using the same payment method.

[For the lawyer: please confirm this reflects the implementation of the Consumer Rights Directive in [Italy], and set out the exact refund calculation we should apply.]

13. Acceptable use

Do not use RULED to access accounts that are not yours, attempt to break or circumvent its security, resell or redistribute the service, or use it in a way that breaks the law or the rules of your broker.

14. Our intellectual property

The software, design, brand and the Discipline Score methodology remain ours. You get a personal, non-transferable right to use the service while your subscription is active. Your data and your rulebook remain yours.

15. Limitation of liability

To the fullest extent the law allows, RULED is not liable for trading losses. That includes losses connected to a warning that did not arrive, to trading activity that occurred while a warning or lock was expected to be active, and equally to a lock that prevented you from accessing your trading application when you wanted to trade.

Where liability cannot be excluded, it is limited to the amount you paid us in the twelve months before the event. Nothing in these terms excludes liability for fraud, gross negligence, death, personal injury, or anything else that cannot lawfully be excluded — including a consumer's mandatory statutory rights.

[For the lawyer: consumer protection rules limit how far this clause can go. Please finalise it under [Italy] law.]

16. Suspension and termination

You can close your account at any time. We may suspend or close an account that breaches these terms, and will tell you why unless the law prevents us. On termination we delete your data as described in the Privacy Policy.

17. Changes

We may update the service and these terms. For material changes we will give you reasonable notice by email or in the app. If you do not accept the new terms, you can cancel.

18. Governing law and competent court

These terms are governed by the law of [Italy].

If you are a consumer, the competent courts are those determined by mandatory consumer protection law, including the forum of your place of residence, and this clause does not deprive you of the protection of the mandatory rules of the country where you live.

If you are a business customer, the [courts of Milan, Italy] have exclusive jurisdiction.
